OrganoBit provides AI-powered analytics and bio-digital interfaces for organoid intelligence research, including:

• OrganoidOS™ - Operating system for organoid intelligence
• OrganoSim™ - Simulation platform for organoid modeling
• OrganoLink™ - Bio-digital interface connectivity
• OrganoBit Marketplace - Platform for research tools and data
• OrganoBit Labs - Collaborative research environment

To access certain features of our Services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Promptly updating your account information
• Notifying us immediately of any unauthorized use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, threatening, or offensive content

Our Platform: OrganoBit retains all rights to our software, algorithms, and platform technology. You are granted a limited, non-exclusive license to use our Services.

Aggregated Data: We may use anonymized, aggregated data derived from your usage to improve our Services, provided such use does not identify you or compromise your proprietary information.

Some features of our Services may require payment. By purchasing a subscription or service:

• You agree to pay all applicable fees
• Fees are non-refundable unless otherwise stated
• We may change our fees with advance notice
• You authorize automatic renewal unless cancelled
• We may suspend service for non-payment

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. We may temporarily suspend or restrict access for maintenance, updates, or other operational reasons.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORGANOBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

You agree to indemnify and hold harmless OrganoBit from any claims, damages, losses, liabilities, and expenses arising from your use of our Services or violation of these Terms.

We may terminate or suspend your access to our Services at any time, with or without cause. You may also terminate your account at any time. Upon termination, your right to use our Services ceases immediately.

These Terms are governed by the laws of Singapore without regard to conflict of law principles. Any disputes, claims, or controversies arising from or relating to these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the Singapore courts.

Dispute Resolution Process:

• Initial resolution through good faith negotiation
• Mediation through the Singapore Mediation Centre if negotiation fails
• Arbitration under the Singapore International Arbitration Centre (SIAC) Rules
• Legal proceedings in Singapore courts as a last resort

For small claims under S$10,000, disputes may be resolved through Singapore's Small Claims Tribunal.

If you are a consumer in Singapore, you have additional protections under the Consumer Protection (Fair Trading) Act (CPFTA):

• Protection against unfair practices in commercial transactions
• Right to seek remedies for misleading or deceptive conduct
• Access to alternative dispute resolution mechanisms
• Consumer rights that cannot be waived by contract terms

Nothing in these Terms limits your rights under Singapore consumer protection legislation.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services constitutes acceptance of the modified Terms.
